Liaison Office Registration Procedure in Bangladesh
Liaison office means an establishment not engaged in any commercial activity.
Commercial activities are not defined in the BIDA guidelines, although they suggest that the liaison office should not engage in any type of commercial activity.
However, in general, commercial activities refer to “activities related to the generation of income”.
The Liaison Office generally promotes the activities of the Bangladesh parent company abroad to the extent permitted by the Board of Investment, Dhaka, Bangladesh; not engage in income generating activities.
The liaison office can act as a communication channel between the parent office abroad and the parties in Bangladesh.
No commercial, commercial or industrial activity of any kind is allowed in Bangladesh.
Liaison Office and Representative Office refer to the same entity in Bangladesh as their permitted activities and characteristics are more or less the same and the establishment procedure is the same as the BIDA guidelines.
How to Incorporate a Liaison Office in Bangladesh?
To establish a liaison office in Bangladesh, prior permission from BIDA (Bangladesh Investment Development Authority) is required to establish a liaison office and the external investor intends to establish a liaison office.
Applications will have to be submitted according to the prescribed form attached.
The following documents must be authenticated by the Bangladesh Embassy or High Commission of the country of origin or by the Apex Chamber of Commerce of the country of origin:
- Prescribed application form, duly filled in, signed and sealed,
- Memorandum of Association (MoA) and Articles of Association (AoA) of the principal Company;
- Certificate of Incorporation of the principal Company;
- Name and nationalities of the directors/promoters of the principal Company;
- Board resolution to open a Liaison office in Bangladesh;
- Audited accounts of the last financial year;
- Proposed organogram of the office showing the posts to be occupied by expatriates as well as local personnel;
- List of activities of the proposed office on the Company letterhead.
